Business Valuation Report: Owner Reliance Named Key Driver of Sale Multiples

Sep 9, 2026

IHP Consulting's 'Know the Numbers' pillar finds owner reliance suppresses business sale valuations, with most owner valuations done for estate or tax planning rather than to prepare for a sale.

Draper, United States, September 9, 2026 /NewsNetwork/ -- IHP Consulting has identified owner reliance as a central factor suppressing sale valuations for privately held companies, according to findings from its 'Know the Numbers' pillar within The Strategic Owner exit-planning framework. The pillar, part of a structured process for owners generating at least $400,000 in annual EBITDA, examines how much value remains tied to an owner's personal involvement rather than reflected in the business itself. For owners with multiple advisors but no single coordinated plan, the finding reframes a common blind spot as a measurable, addressable problem.

Most owners do eventually put a number on their business. Roughly 60% have had a formal valuation within the last two years, according to the Exit Planning Institute's 2023 State of Owner Readiness report, which surveyed 1,162 U.S. business owners. But the number rarely comes from preparing to sell: 26% of those valuations were done for estate planning and 17% for tax planning, while only 15% were commissioned specifically ahead of a potential sale. In other words, most owners are holding the wrong valuation for the decision in front of them.

Relying on the wrong number can be costly. Buyers who track actual transactions see a narrower, more consistent range than most estate or tax valuations account for: deals between $1 million and $5 million closed at an average of 5.5 times earnings through the first half of 2025, and the $5 million to $10 million range averaged 5.6 times, according to GF Data, which tracks deal flow from more than 330 North American private equity firms. Those figures describe businesses that were already vetted, financially clean, and able to operate without their founder. The profile a buyer pays a full multiple for.

An owner-dependent business doesn't get quoted at that same multiple. It typically never reaches that tracked, sale-ready buyer pool in the first place, because a buyer who can see that revenue, relationships, or institutional knowledge would leave with the founder prices in that risk before making an offer. The buyer ends up discounting or walking away rather than paying for cash flow that isn't guaranteed to continue. How large that discount runs varies by business and hasn't been reliably measured across a broad sample, but the direction isn't in dispute: the more a business depends on its owner personally, the less of its earnings a buyer will pay for.

To surface this issue before a sale process begins, the Owner Reliance workshop evaluates dependency across the operational areas most likely to concern a buyer. According to the guide, this includes customer relationships, decision-making authority, sales processes, and institutional knowledge that resides solely with the founder. Identifying these dependencies early allows owners to address them well before valuation day.

The Owner Reliance workshop is the first of three within the 'Know the Numbers' pillar. It is followed by the Planning Valuation workshop, which produces a defensible, financial-based valuation, and the Wealth Gap Analysis, which measures the distance between current business value and an owner's post-transition financial needs. Together, the three workshops connect a diagnostic finding to concrete figures an owner can act on.

By the end of this phase, owners typically know what their business is worth today, what it needs to be worth, and how much of that gap traces back to their own involvement. That clarity replaces speculation with a decision framework, giving owners a factual basis for choosing their next step rather than guessing.

Owners looking to apply this framework to their own business can begin with an Exit Readiness Assessment through The Strategic Owner platform, offered at no cost. The process is designed to determine whether a coordinated, structured approach fits an owner's specific situation and timeline.
